1. Introduction and Agreement

1.1 About These Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and House And Land Packages Pty Ltd (ABN 92 631 641 408) ("HALP", "we", "us", or "our"). By accessing or using any of our websites, platforms or services, you agree to be bound by these Terms.

For Advertisers (agents, builders, developers), these Terms also include the Listing Agreement, which is incorporated by reference. Where the Listing Agreement conflicts with these Terms on listing specifics, the Listing Agreement prevails.

1.2 Our Platforms

These Terms apply to all HALP platforms including www.halp.com.au, www.boutiquedevelopments.com.au, associated mobile applications, and related websites, features or services within our network.

1.3 Acceptance of Terms

By using our services you acknowledge you have read and understood these Terms, agree to be bound by them and our Privacy Policy, represent that you are at least 18 years of age, and represent that you have the authority to enter into this agreement.

1.4 Changes to Terms

We may modify these Terms at any time. We will update the "Last Updated" date, notify registered users by email and display material changes prominently. Continued use after changes are posted constitutes acceptance.

2. Description of Services

2.1 Platform Services

HALP operates specialised property discovery and business directory platforms providing house and land package listings, off-the-plan and new development information, boutique and luxury showcases, school zone integration, property calculators and tools, mortgage broker connections, market insights, and business directory services (freemium and premium subscriptions, lead generation, profile management, multi-platform reach).

2.2 Nature of Service

HALP is an information and advertising platform. We facilitate connections between property seekers and providers, aggregate and display property and business information, and provide research tools. We are not a real estate agent, developer, builder or financial advisor.

Lead Routing: Property listing inquiries go directly to the listing agent, developer or builder — HALP does not store or process these inquiries. Platform inquiries (Contact Us, Join Us, Advertise With Us) are managed by HALP per our Privacy Policy.

No Agency Relationship: HALP does not act as your agent, does not provide property, financial, legal or tax advice, has no authority to bind you to any transaction, does not guarantee accuracy of third-party listings, and does not control how listing agents use your inquiry information.

2.3 Service Availability

Services are provided "as is" and "as available". We may modify, suspend or discontinue services at any time. Our platform is delivered through third-party infrastructure including Amazon Web Services (hosting and backups), Synergywholesale (domain hosting), Google Workspace (business email), Stripe (payments), Pipedrive and ActiveCampaign (CRM), and Zapier (automation). These providers may change from time to time.

3. User Accounts and Registration

You must provide accurate, current and complete information when registering, must be at least 18 years of age, may only create one account per person, and must have a valid ABN or ACN for business accounts. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. We may suspend or terminate accounts that breach these Terms, provide false information, are used for fraud, fail to pay applicable fees, or remain inactive for an extended period. You may terminate your account at any time by contacting support@halp.com.au.

4. User Conduct and Prohibited Activities

You agree to comply with all applicable laws, use services only for lawful purposes, provide accurate information, respect intellectual property, and act in good faith when contacting property providers or businesses.

You must not misuse the platform (bots, scrapers, unauthorised access, reverse engineering, circumventing security), post harmful content (false or misleading information, viruses, spam, phishing, impersonation), engage in illegal activity (fraud, money laundering, IP infringement, consumer law violations), harass or abuse other users, or commercially misuse the platform (unauthorised resale, aggregating/scraping listings for competing platforms, multiple accounts to circumvent restrictions).

Violations may result in account suspension or termination, content removal, legal action, referral to law enforcement, and permanent bans.

5. Property Listings and Information

Property listings and information are provided and owned by property developers, builders, real estate agents and third-party data providers. HALP does not own or control third-party listings, verify all listing information, endorse particular providers, or guarantee availability or pricing.

While we make reasonable efforts to ensure accuracy, property information may change without notice; prices, availability and specifications are subject to change; images and renderings may not reflect final product; land sizes are approximate; and school zone information is provided for reference only. Always verify critical information directly with the property provider before making decisions.

We expressly disclaim all warranties regarding accuracy, completeness, currency, availability of advertised properties, fitness for purpose, and title, condition or quality of properties.

School zone data is sourced from government databases and third parties and is provided for research purposes only. Always verify current catchments directly with the relevant education department and the individual school before making a purchase decision — enrolment is not guaranteed by living in a catchment zone.

6. Business Directory Listings

To advertise in our business directory you must hold a valid ABN or ACN, be a legitimate operating business, comply with applicable business and advertising laws, provide accurate business information, and hold necessary licenses. Business listings must accurately describe your services, include current contact information, use your own business name and logo, comply with Australian Consumer Law, and not contain misleading or deceptive claims. Listings must not promote illegal goods or services, make unsubstantiated claims, violate professional codes, engage in bait advertising, contain discriminatory content, or infringe third-party IP.

Free listings provide basic directory presence. Premium subscriptions provide enhanced visibility, require payment, auto-renew unless cancelled, and are subject to a separate subscription agreement.

You are responsible for responding to inquiries promptly and professionally, using customer information lawfully, complying with privacy laws, and not spamming or harassing prospective customers.

7. Payment Terms (Advertiser Subscriptions)

Pricing is as displayed on our website, at checkout, or in the applicable Listing Agreement. Prices are in AUD, exclusive of GST unless otherwise stated. Payments are processed via Stripe (PCI-DSS Level 1 certified) with automatic recurring billing for subscriptions and secure encrypted transactions. Complete credit card numbers are not stored on HALP servers.

Subscriptions auto-renew unless cancelled and are charged on your billing date each period. Payment failures may result in service suspension. Cancellation takes effect at the end of the current billing period — no partial refunds for unused time. Refunds for technical issues preventing service access are pro-rata and processed within 14 business days. Non-payment may result in suspension after 7 days and listing removal after 14 days; you remain liable for unpaid fees and collection costs may apply.

8. Intellectual Property Rights

All content and materials on our platforms are owned by HALP or licensed to us — including our logos and trademarks ("HALP", "House And Land Packages", "Boutique Developments"), website design and code, text, graphics, images and videos, data compilations and school zone data aggregations.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our platforms for personal, non-commercial purposes. You may not reproduce, distribute or publicly display our content without permission, modify or create derivative works, use our content commercially, or remove copyright notices.

When you submit content you retain ownership but grant us a worldwide, royalty-free licence to use, reproduce, modify and display it, and confirm you have rights to grant this licence. Copyright infringement claims can be sent to legal@halp.com.au.

9. Disclaimers and Limitations

HALP does not provide financial, mortgage, investment, legal, tax or real estate advice. Calculators and tools provide estimates only. Always consult a qualified solicitor or conveyancer, licensed tax professional and licensed financial advisor for professional advice.

We facilitate connections but do not control third-party conduct, are not responsible for the actions of property developers, agents or brokers, do not guarantee third-party service quality, and are not party to contracts between you and third parties.

While we strive for accuracy, information may contain errors or omissions, property data may be outdated, school information may change, and market data is for reference only. We are not liable for decisions based on our information. We do not guarantee continuous, uninterrupted, error-free service or the absence of viruses. Our platform relies on third-party services (AWS, Stripe) whose failures are outside our control.

10. Limitation of Liability

To the maximum extent permitted by law, HALP and its directors, officers, employees and agents are not liable for direct damages (loss of profits, revenue, data, business opportunities, cost of substitute services), indirect damages (consequential, incidental, special, punitive), or damage arising from your use or inability to use our services, errors or omissions, third-party conduct, unauthorised account access, service interruptions or property transactions.

Where liability cannot be excluded by law, our total liability for any claim is limited to $100 AUD for free services, or for paid services the lesser of $1,000 AUD or the amount you paid us in the 12 months prior to the claim.

Nothing in these Terms excludes rights under the Australian Consumer Law. Where liability for breach of consumer guarantees applies, our liability is limited (at our option) to re-supplying the services or paying the cost of re-supply.

You agree to indemnify and hold harmless HALP from any claims arising from your breach of these Terms, violation of any law or third-party rights, use of our services, submitted content, and interactions with other users or third parties.

11. Dispute Resolution

Before legal proceedings, contact legal@halp.com.au with details of your dispute and allow 30 days for investigation and good-faith resolution. These Terms are governed by the laws of New South Wales, Australia, with exclusive jurisdiction in NSW courts. Optional arbitration in Sydney under ADRA rules is available. To the extent permitted by law, disputes are resolved individually and class actions are waived. Either party may seek injunctive or equitable relief for IP infringement, breach of confidentiality, prohibited activities or irreparable harm.

12. General Provisions

These Terms, together with our Privacy Policy and referenced policies, constitute the entire agreement. If any provision is invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary; the remainder continues in effect. Our failure to enforce any provision does not waive future enforcement. You may not assign these Terms or your account without our written consent; we may assign to affiliates or in a merger, acquisition or sale of assets. These Terms do not create rights for third parties unless explicitly stated.

Notices to you may be given by email, website posting or in-app notification. Notices to us must be sent to House And Land Packages Pty Ltd, 235 Glen Huntly Road, Elsternwick VIC 3185, or legal@halp.com.au. These Terms are written in English; any translation is for convenience only.

13. Special Terms for Specific Services

Mortgage calculators provide estimates only, not pre-approvals. Actual loan terms are determined by lenders. School zone data is aggregated from public government databases, provided "as is", and subject to change — verify with the education department and the specific school. Property alerts are sent based on your saved search criteria; you can modify or cancel anytime. Home loan referrals may result in us receiving a referral fee or commission; brokers are independent third parties and we do not guarantee loan approval.

Q: How do advertiser subscriptions and payments work? Fees are in AUD, exclusive of GST unless stated. Payments are via Stripe. Subscriptions auto-renew; pricing may change with 30 days notice. See section 7.

Q: Can I get a refund if I cancel? Cancellation takes effect at the end of the current billing period. No refunds for voluntary cancellations or unused time. Pro-rata refunds apply for technical issues preventing service access; processed within 14 business days. See section 7.

Q: What is HALP's liability if something goes wrong? Liability is excluded to the maximum extent permitted by law. Where liability cannot be excluded, it is capped at $100 AUD for free services, or for paid services the lesser of $1,000 AUD or the amount you paid in the prior 12 months.
